FIXY TERMS OF SERVICE

FIXY is a marketplace that helps Clients find Contractors. We are not a contractor, employer, or supervisor. We don’t do the work, control how it’s done, or guarantee results. You choose who you hire, and Contractors choose which jobs they accept.

Ratings, recommendations, badges, or suggestions are tools to help you decide — they are not guarantees. Problems like poor workmanship, damage, delays, or disputes must be handled between Clients and Contractors directly.

If someone repeatedly wastes time, no-shows, ignores awarded jobs, or behaves badly, FIXY may remove them to protect the community.

  1. Agreement & Acceptance

These Terms of Service (the “Terms”) govern your access to and use of the FIXY platform, including websites, mobile applications, and related services (the “Platform”).

These Terms form a legally binding agreement between FIXY Ltd., a Cayman Islands company (“FIXY”, “we”, “us”, or “our”) and you (“User”, “you”).

By using FIXY, you confirm that:

  • You are at least 18 years old;
  • You have the legal capacity to enter into this agreement; and
  • You agree to these Terms as updated from time to time.

If you use FIXY on behalf of a company or other entity, you confirm you are authorised to bind that entity.

  1. The FIXY Platform & Our Role

2.1 Marketplace Only

FIXY operates a digital marketplace connecting people seeking home, property, or maintenance services (“Clients”) with independent service providers (“Contractors”).

FIXY does not provide construction, trade, professional, or advisory services. Any agreement for services is strictly between the Client and the Contractor.

2.2 No Party to Contracts

When a Client awards a job or accepts a bid, a separate contract is formed directly between the Client and the Contractor. FIXY:

  • Is not a party to that agreement;
  • Does not supervise, manage, or control Contractors;
  • Does not guarantee pricing, timelines, safety, quality, or outcomes.

FIXY does not draft, review, enforce, or guarantee the terms or enforceability of any agreement between Clients and Contractors, and disclaims all responsibility arising from such agreements.

2.3 Recommendations, Rankings & Suggestions

FIXY may display ratings, reviews, response indicators, completion metrics, badges, or algorithmic suggestions.

These are informational tools only. They:

  • Do not constitute endorsements;
  • Do not create warranties or guarantees;
  • Do not make FIXY responsible for Contractor performance.

Final selection decisions always remain with the Client.

  1. Contractor Independence

All Contractors on FIXY are independent third parties, not employees, agents, partners, or representatives of FIXY.

Contractors are solely responsible for:

  • The quality and safety of their work;
  • Compliance with Cayman Islands laws, licensing, and building codes;
  • Insurance, permits, and taxes;
  • Any damage, injury, delay, or loss arising from their services.

Nothing on the Platform creates an employment, agency, joint venture, or partnership relationship.

  1. No Liability for Work, Damage, or Outcomes

To the fullest extent permitted by Cayman Islands law:

FIXY is not liable for:

  • Poor or defective workmanship;
  • Property damage;
  • Personal injury or death;
  • Missed appointments or delays;
  • Cost overruns or incomplete work;
  • Misrepresentations by Users;
  • Disputes between Clients and Contractors.

All service-related claims must be resolved directly between the Client and the Contractor.

  1. User Responsibilities

5.1 Clients

Clients are responsible for:

  • Reviewing Contractor profiles, bids, and reviews;
  • Clearly defining scope, pricing, and expectations;
  • Verifying licences, insurance, and suitability;
  • Making agreed payments;
  • Complying with applicable laws.

5.2 Contractors

Contractors are responsible for:

  • Providing accurate and current information;
  • Responding promptly and professionally;
  • Showing up as agreed;
  • Performing services with reasonable skill and care;
  • Complying with all legal, licensing, and insurance requirements.
  1. Platform Integrity & Behaviour Standards

FIXY relies on community trust and accountability. While systems naturally highlight reliable users, FIXY may suspend or remove Users who:

  • Repeatedly fail to show up;
  • Ignore awarded jobs or bids;
  • Are persistently unresponsive;
  • Provide misleading information;
  • Engage in abusive, dishonest, unsafe, or unlawful behaviour;
  • Attempt to bypass the Platform after connecting.

Such actions are taken to protect the marketplace and do not constitute legal judgments.

  1. Payments & Fees

FIXY may facilitate payment processing between Clients and Contractors for convenience only.

FIXY:

  • Acts solely as a payment facilitator;
  • Does not hold funds as a trustee, escrow agent, or fiduciary;
  • Does not control when or how Contractors perform services.

Payment processing does not:

  • Create any warranty or guarantee of performance;
  • Make FIXY responsible for service outcomes;
  • Alter the independent relationship between Clients and Contractors.

All payment terms, refunds, and disputes relating to services remain strictly between Clients and Contractors. FIXY may deduct applicable platform fees and processing fees before remitting payments and these fees are non-refundable in cases of contractor performance issues. Contractors bear all risk of chargebacks, payment reversals, failed payments, or disputes. FIXY may withhold or reverse payouts where fraud, abuse, or disputes are reasonably suspected. 

  1. Disputes Between Users

FIXY does not act as a court or arbitrator. We may offer messaging tools or informal assistance, but Users remain responsible for resolving disputes themselves or through legal channels.

To the fullest extent permitted by law, Users release FIXY from any claims, demands, losses, or liabilities arising out of or relating to disputes, interactions, or agreements between Users.

  1. Ratings & Reviews

Ratings and reviews:

  • Represent personal opinions;
  • Are not verified for accuracy;
  • Are not endorsements or guarantees by FIXY.

FIXY may remove content that violates policy.

  1. Contractor-Only Terms (Additional)

Contractors acknowledge that:

  • Listing on FIXY does not guarantee work;
  • FIXY does not verify workmanship quality;
  • They are responsible for insurance and compliance;
  • Repeated negative behaviour may result in removal;
  • Off-platform solicitation of Clients identified via FIXY may result in suspension or termination.
  1. Intellectual Property

All FIXY branding, software, and content are owned by FIXY or its licensors. Users may not copy or reuse Platform materials without written consent.

By submitting content to FIXY (including reviews, photos, listings, messages, or profile information), you grant FIXY a worldwide, royalty-free, perpetual, irrevocable licence to use, display, reproduce, store, analyse, and distribute such content in connection with the operation, improvement, and marketing of the Platform, including after account termination.

  1. Privacy

Personal data is handled in accordance with FIXY’s Privacy Policy.

  1. Platform Disclaimer (App Store & Google Play Compliance)

The Platform is provided “as is” and “as available.” FIXY makes no warranties regarding Contractor performance, Platform availability, or outcomes.

  1. Limitation of Liability

To the fullest extent permitted by law, FIXY shall not be liable for indirect, incidental, or consequential damages, loss of profits, data loss, personal injury, or property damage.

If liability cannot be excluded, FIXY’s total liability shall not exceed the total platform fees actually paid to FIXY by the User in the 12 months preceding the claim.

  1. Indemnity

You agree to indemnify and hold FIXY harmless from claims arising from:

  • Your use of the Platform;
  • Your breach of these Terms;
  • Services you provide or receive.
  1. Suspension & Termination

FIXY may suspend or terminate access at any time to protect the Platform or enforce these Terms.

  1. Governing Law & Jurisdiction

These Terms are governed by the laws of the Cayman Islands, and Cayman Islands courts have exclusive jurisdiction.

  1. Changes to These Terms

FIXY may update these Terms from time to time. Continued use constitutes acceptance.
